Thank you for using our services.To govern the relationship established by your use of Vezeeta’s Global Telehealth Services ("Telehealth Services") through the Site or our Application. These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, either in your capacity as an individual or on behalf of an organization or entity you legally represent ("You," "Patient", "Provider"), and Vezeeta LLC, the owner and operator of Vezeeta Global Telehealth Services. You understand that Vezeeta or any of Vezeeta’s affiliates reserves the right to limit or discontinue your use of the Telehealth Services if you do not abide by these Terms or at the sole discretion of Vezeeta. By accessing using any part of the Site or Application, you agree that you have read, understand and agree to be bound by these Terms, as well as additional available guidelines, policies, or rules as applicable to the Site and Application, including, without limitation, the Vezeeta Privacy Policy and the Terms of Use, which are incorporated by reference herein. We reserve the right right to amend these Terms from time to time, including for security, legal, regulatory or policy reasons or to reflect updates or changes to the Services offered on, or functionality of, the Site and Application. You are required to review any revised Terms.
1.1 Vezeeta’s Telehealth Services involve the use of electronic communications to enable healthcare providers ("Providers") to communicate with their patients and provide health care services online via secured internet connections. Providers may include primary care practitioners, specialists, sub-specialists, or other healthcare professions.
1.2 The Telehealth Services enables Providers to provide a diagnosis, therapy, follow-up, and/or educational services. To do this, Providers may have access to patient medical records, medical images, medical test results, live two-way audio and video, and output data from medical devices, sound, and video files. Nonetheless, responsibility for your primary care should remain with your local clinician, if you have one, as does your medical record.
2.1. You warrant to us that you are of legal age to form a binding contract and if required, you have authority to enter into these Terms. Telehealth Services are available for use for children / minors, but the registered member for all patients under the age of 18 (eighteen) must be the patient’s parent or legal guardian who has custody over the relevant and are in each case legally permitted to provide appropriate consent for Telehealth Services or other medical services to be rendered to the relevant minor.
2.2 In case of a minor, use of the Telehealth Services will only be permitted if such a minor is accompanied by the relevant adult who undertook the registration on behalf of such a minor, during the entire process of provisioning of the Telehealth Services to the relevant minor.
2.3 You agree to provide us with accurate and complete primary information about yourself as required and to update your information as required to maintain its accuracy. if any of the information you provide is inaccurate or incomplete, we may suspend or terminate your access to any part of the Services. Inaccurate or incomplete information about yourself may also reduce the effectiveness or accuracy of the Services provided.
2.4 Prior to commencing the Services, you agree and acknowledge that
2.4.1 Telehealth is not appropriate in cases of emergency;
2.4.2 in some circumstances, including when a physical examination is required, telehealth appropriate;
2.4.3 Your log-in information is confidential and specific to you, and therefore you are responsible for protecting the security and privacy of that log-in and other security information;
2.4.4 You shall notify us immediately in the event of any known or suspected unauthorized use of your log-in information;and
2.4.5 You are solely responsible for all activity that occurs on your account or under your log-in information.
2.5. The Telehealth Services provided by us do not constitute an invitation or recommendation to avail such services and are not intended in any way to be a substitute to in-person consultation with a medical professional and have certain inherent and intrinsic limitations.
2.6. We advise and request you to make independent assessment in respect of accuracy, usefulness and suitability of the Telehealth Services prior to making any decision to rely on such Telehealth Services
3.1 Payment Collection
3.1.1 We currently accept payment through credit/debit cards.
3.2 Refund Policy
3.2.1 Refunds are not applicable if the User is unsatisfied with the medical service provided.
3.3 A User will be entitled to a full refund if:
3.3.1 The User cancelled the reservation prior to the appointment time;
3.3.2. The Provider cancelled, or did not show-up to, the appointment for which payment was made by the User;
3.3.3. The Provider did not answer the call;
3.3.4. The call was not initiated due to technical reasons;
3.3.5. the User did not answer the call;
3.3.6. a User will not be entitled to receive a refund if the call was interrupted. In this case, the User will be offered another booking with the same Provider to complete the appointment.
4.1 The Telehealth Services will be available across all specialties and will be rendered through specified Providers, based on their specialization, your language preference and the availability and willingness of the relevant Provider to provide Telehealth Services.
4.2. You may have the option to, at the time of scheduling the appointment, request for a specific Provider who has provided you medical services in the past . However, consultation from a specific Provider is subject to the availability and willingness of the relevant Provider to provide you such medical service and is at the sole discretion of the Provider
4.3. Confirmation of your appointment with a specific Provider, as per availability, will be sent to you via SMS and, or, email to your registered mobile number or email address, as the case may be. We reserve the right to reschedule or cancel an appointment without any prior notice. The time provided for availing Telehealth Services is indicative and the actual time may change depending on the Provider’s discretion / availability and you will be notified of such change via SMS and, or, email to your registered mobile number or email address, as the case may be.
4.4. The Provider is entitled to, at his / her sole discretion, take a decision based on the information provided by you, and either prior to or at the time of availing the Telehealth Services, that the relevant medical services will not be provided through online consultation and may choose not to proceed with rendering the Telehealth Service at any point in time and and suggest an in-person consultation.
4.5. You are entitled to reschedule or cancel your scheduled appointment for the Telehealth Services, within the time limits stipulated below and by following the process set out hereunder.
5.1. The speed and reliability of the Telehealth Services may vary depending on many factors including, without limitation:
5.1.1. the capability and functionality of the device used to connect to the Telehealth Services;
5.1.2. the amount of traffic and general congestion of the internet connection; and
5.1.3. the location of your device.
5.2. Since electronic services are subject to interruption, breakdown and failure, access to Telehealth Services is provided on an ‘as is’ and ‘as available’ basis only. We do not guarantee that the Telehealth Services will be continuous, stable or fault free.
5.3. We do not promise that you will be able to access the Telehealth Services immediately or at all times. From time to time, we may, in our absolute discretion, withdraw your access to Telehealth Services for security, technical, maintenance, legal, operational or regulatory reasons, or due to any breach of these terms by you.
5.4. We will use reasonable efforts but are not obliged to rectify any malfunctions, faults, issues or problems with the Telehealth Services.
5.5. At any time, we may make available upgrades, updates and patches to, or new versions or releases of the Telehealth Services, all of which will be governed by these Terms, unless such upgrade or update is accompanied by separate terms, in which case those terms will govern the upgrade.
5.6. Electronic systems used for the Telehealth Services may incorporate network and software security protocols to protect the confidentiality of patient identification and imaging data and will include measures to safeguard the data and to ensure its integrity against intentional or unintentional corruption. Nonetheless, the internet is an inherently insecure communication Telehealth Services. We do not guarantee the security of the Telehealth Services any given time.
5.7. Your access to and use of the Telehealth Services is solely at your own risk. We do not warrant that any information, data, software or other material accessible through or by using the Telehealth Services is free of computer viruses, trojan horses, worms, or other computer programs, code or other harmful components. You must ensure that the device used to access the Telehealth Services is protected by up-to-date anti-virus software.
6.1. USE OF OUR SERVICES IS NOT APPROPRIATE FOR EMERGENCIES. IF YOU THINK YOU HAVE A MEDICAL OR MENTAL HEALTH EMERGENCY, OR IF AT ANY TIME YOU ARE CONCERNED ABOUT YOUR CARE OR TREATMENT, CALL YOUR LOCAL EMERGENCY SERVICES OR GO TO THE NEAREST OPEN CLINIC OR HOSPITAL.
6.2. You acknowledge that the Telehealth Services and the Services are not intended for use, and must not be used, in connection with life support or other medical equipment or apparatus.
7.1 As a Patient, you accept responsibility for yourself in the use of the Telehealth Services. You acknowledge that your relationship for health care services is with your health care provider, and your obtaining services from the Provider is solely at your own risk and you assume full responsibility for all risk associated therewith, to the extent permitted by law.
7.2. Vezeeta is not a medical service provider, nor is it licensed to provide medical services or health insurance. You understand that Vezeeta only acts as a facilitator of the Telehealth Services and is not liable for any actions of the Provider. By using the Telehealth, you agree to not hold Vezeeta liable in any way for any malpractice or substandard treatment the Healthcare Provider may render.
7.3. You will indemnify, defend (or settle) and hold harmless Vezeeta from all claims, actions, proceedings,losses, settlements, judgments, liabilities, suits, damages, disputes or demands, including without limitation any proceeding, investigation or claim by a self-regulatory organization, state or federal securities agency or commission, and including reasonable attorneys fees and all other costs, fees, and expenses (collectively, "Claims") against Vezeeta to the fullest extent permitted by law arising out of or in connection with, without limitation, (1) your use of the Telehealth Services, (2) any breach or violation by you of your obligations under these Terms, including without limitation any breach of your representations and warranties herein. The remedies provided in this Section are not exclusive of and do not limit any other remedies that may be available to Vezeeta pursuant to these Terms.
8.1. If you are a Healthcare Provider, you accept full responsibility for your Patients as well as yourself in the use of the Telehealth Service. You are also responsible for the quality of the services you provide during your use of the Telehealth Service and for complying with all applicable laws in connection with your use of the Service. For the avoidance of doubt, and where applicable, you are responsible for obtaining any and all local licenses and certifications which may be required to practice your profession when using the Telehealth Service and maintaining the relevant insurance in compliance with regulatory and requirements.
8.2. You are also responsible for obtaining Patient consent if required by law and complying with any and all privacy laws applicable to the use of the Telehealth Service with your patients.
8.3. While Vezeeta has established reasonable safeguards and procedures to protect the security of patient information, but you must also take steps to protect your privacy and confidentiality that of your patients.
8.4. You will indemnify, defend (or settle) and hold harmless Vezeeta from all claims, actions, proceedings, losses, settlements, judgments, liabilities, suits, damages, disputes or demands, including without limitation any proceeding, investigation or claim by a self-regulatory organization, state or federal securities agency or commission, and including reasonable attorneys fees and all other costs, fees, and expenses (collectively, "Claims") against Vezeeta to the fullest extent permitted by law arising out of or in connection with, without limitation, (1) your use of the Telehealth Services, (2) any breach or violation by you of your obligations under these Terms, including without limitation any breach of your representations and warranties herein. The remedies provided in this Section are not exclusive of and do not limit any other remedies that may be available to Vezeeta pursuant to these Terms.
9.1. The content on the Site and the Telehealth Services are designed to support, not replace or intervene in, the relationship that exists between you and your primary health care provider. Any information contained on the Site is not to be construed as medical recommendation, or as professional advice. The Site is not intended for medical diagnosis or treatment. Always seek the advice of your doctor or other qualified health provider. Never disregard medical advice or delay seeking it because of something you have read on the Site.
9.2. THE INFORMATION, PRODUCTS AND SERVICES OFFERED ON OR THROUGH THE SITE AND ANY THIRD-PARTY SITES ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE SITE OR ANY OF ITS FUNCTIONS WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY PART OF THE SITE, INCLUDING BULLETIN BOARDS, OR THE SERVERS THAT MAKE IT AVAILABLE, ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
9.3. WE DO NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SITE OR MATERIALS ON THE SITE OR ON THIRD-PARTY SITES IN TERMS OF THEIR CORRECTNESS, ACCURACY, TIMELINESS, RELIABILITY OR OTHERWISE.
9.4. Your interactions with companies, organizations and/or individuals found on or through our site, including any purchases, transactions, or other dealings, and any terms, conditions, warranties or representations associated with such dealings, are solely between you and such companies, organizations and/or individuals. You agree that we will not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings. You also agree that, if there is a dispute between users of the site, or between a user and any third party, we are under no obligation to become involved, and you agree to release us and our affiliates from any claims, demands and damages of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such dispute and/or our site.
9.5. UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, WILL WE OR OUR SUBSIDIARIES, PARENT COMPANIES OR AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OF, OR THE INABILITY TO USE, THE SITE OR TELEHEALTH SERVICES, INCLUDING ITS MATERIALS, PRODUCTS, OR SERVICES, OR THIRD-PARTY MATERIALS, PRODUCTS, OR SERVICES MADE AVAILABLE THROUGH THE SITE, EVEN IF WE ARE ADVISED BEFOREHAND OF THE POSSIBILITY OF SUCH DAMAGES. WHERE APPLICABLE, OUR LIABILITY AND THE LIABILITY OF OUR SUBSIDIARIES, PARENT COMPANIES AND AFFILIATES, IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW. YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT WE ARE NOT LIABLE FOR ANY DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF ANY USER. IF YOU ARE DISSATISFIED WITH THE SITE, OR ANY MATERIALS, PRODUCTS, OR SERVICES ON THE SITE, OR WITH ANY OF THE SITE’S TERMS AND CONDITIONS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.
10.1. We may terminate, disable, block or limit your access to or use of the Telehealth Services at any time, in our absolute discretion, including where we consider or believe that your use of or access to the Telehealth Services:
10.1.1. is in contravention of these Terms; or
10.1.2. may create or exploit any network or security vulnerabilities.
10.2. Upon termination or suspension of your access to the Telehealth Services, we may immediately deactivate your login, all related information and files and prevent any further access to such information, files or the Telehealth Services.
10.3. All provisions which by their nature survive termination will survive termination of these Terms.
11.1. Collection of information is made in accordance with our Privacy Policy.
12.1. All restrictions, rights and indemnities granted by You in favor of us will survive the termination of these Terms.
12.2. These Terms are governed by the laws of the Arab Republic of Egypt. You agree to the non-exclusive jurisdiction of the courts of Cairo entitled to hear appeals from those courts, to resolve any dispute arising or under or in connection with these terms.
12.3. If we fail to enforce any of our rights under these terms, that does not mean we waive those rights. If you fail to enforce any of your rights under these terms, that does not mean you waive those rights.
12.4. These Terms are personal to you and you may not assign or otherwise transfer any rights under these terms without our prior written consent. We may assign or novate, or otherwise transfer our rights and obligations under these terms, to any third party without your prior consent.
12.5. Should any clause or part thereof of these Terms be found to be void, unenforceable or invalid, then it is severed, leaving the balance of these Terms in full force and effect, provided the severance does not alter the nature of these Terms.
